THESE TERMS OF USE (the “Terms”) CONSTITUTE A LEGALLY BINDING AGREEMENT BETWEEN YOU (“You” or “User”) AND OCEANUS RESEARCH (“Oceanus”, “we”, “us”, or “our”) GOVERNING YOUR ACCESS TO AND USE OF THE OCEANUS RESEARCH PORTAL AND ANY RELATED SERVICES (COLLECTIVELY, THE “Portal”). BY ACCESSING, REGISTERING FOR, OR USING THE PORTAL, YOU REPRESENT THAT (i) YOU HAVE READ AND UNDERSTAND THESE TERMS; (ii) YOU AGREE TO BE BOUND BY THESE TERMS; AND (iii) YOU HAVE THE LEGAL CAPACITY AND AUTHORITY TO ENTER INTO THESE TERMS, ON YOUR OWN BEHALF OR ON BEHALF OF THE ENTITY YOU REPRESENT. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE PORTAL.

1. Definitions

For the purposes of these Terms, the following capitalized terms have the meanings set forth below:

  1. “Account” means a unique user account issued to a natural person authorized to access the Portal.
  2. “AI Output” means any content, analysis, summary, recommendation, or other material generated by, or produced with the assistance of, large language models or other artificial-intelligence subsystems integrated into the Portal.
  3. “Authorized User” means a natural person who has been invited by Oceanus or its delegate to use the Portal and who has accepted these Terms.
  4. “Confidential Information” means any non-public information disclosed by one party to the other in connection with the Portal, whether designated as confidential or reasonably understood to be confidential, including without limitation research notes, watchlists, theses, model parameters, and aggregated usage data.
  5. “Content” means any data, text, code, documents, charts, attachments, prompts, conversation history, notes, pipelines, watchlists, and other materials submitted to, stored within, or generated by the Portal.
  6. “Third-Party Data” means market data, fundamentals, news, filings, and other information licensed from third-party providers (including, without limitation, Financial Modeling Prep and its affiliates) and surfaced through the Portal.
  7. “User Content” means Content created, uploaded, or submitted by an Authorized User, excluding AI Output and Third-Party Data.

2. Eligibility and Account Registration

2.1 Eligibility. The Portal is offered exclusively to Authorized Users who (a) have received a written or system-generated invitation from Oceanus, (b) are of legal age and capacity to enter into binding contracts in their jurisdiction of residence, and (c) are not subject to any sanctions, export-control, or anti-money-laundering restriction that would prohibit such access.

2.2 Account integrity. Each Account is personal to a single natural person. You may not (i) share, lease, sell, or transfer your Account credentials; (ii) maintain more than one Account without prior written authorization; or (iii) allow any other person to access the Portal under your credentials.

2.3 Security obligations. You are solely responsible for safeguarding your password, any two-step verification factors, and all activity occurring under your Account. You shall promptly notify Oceanus of (a) any unauthorized access, suspected compromise, or loss of credentials, and (b) any material change in your eligibility status under Section 2.1.

2.4 Suspension and termination. Oceanus reserves the right, in its sole and absolute discretion, to suspend, limit, or terminate any Account at any time, with or without notice, including without limitation for breach of these Terms, suspected misuse, security incidents, or expiration of the underlying engagement.

3. License Grant; Reservation of Rights

3.1 License. Subject to and conditioned upon continuous compliance with these Terms, Oceanus grants You a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Portal during the term of these Terms solely for Your internal, non-commercial research purposes.

3.2 Reservation. Except for the limited license granted in Section 3.1, Oceanus and its licensors reserve all right, title, and interest in and to the Portal, including without limitation all underlying software, models, designs, user-interface elements, trademarks, and aggregated or anonymized usage data. Nothing in these Terms shall be construed as transferring any intellectual-property right by implication, estoppel, or otherwise.

4. Acceptable Use; Prohibited Conduct

4.1 You agree to use the Portal solely in accordance with these Terms, all applicable laws and regulations, and all documentation made available by Oceanus.

4.2 Without limiting the foregoing, You shall NOT, and shall not attempt to, directly or indirectly:

  1. use the Portal in any manner that violates any applicable securities law, market-abuse regulation, insider-trading prohibition, anti-money-laundering rule, or data-protection requirement, including without limitation Section 10(b) of the U.S. Securities Exchange Act, Rule 10b-5, the Market Abuse Regulation (EU 596/2014), or analogous provisions in other jurisdictions;
  2. access, copy, scrape, harvest, or otherwise obtain Content or Third-Party Data in volumes or by means inconsistent with ordinary individual research use;
  3. reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, model weights, prompts, or underlying algorithms of the Portal;
  4. interfere with, disrupt, or circumvent any security, rate-limiting, audit-logging, or access-control mechanism of the Portal;
  5. upload, transmit, generate, or store any Content that is unlawful, infringing, defamatory, malicious, or designed to conceal the source or intent of the activity;
  6. use AI Output to (a) generate or distribute material reasonably likely to mislead investors, (b) create the appearance of material non-public disclosure, (c) fabricate research findings, or (d) impersonate an identifiable individual or institution;
  7. disclose Confidential Information, proprietary research, watchlists, model outputs, or pipeline data outside the permitted engagement scope without Oceanus's prior written authorization; or
  8. use the Portal to develop or train a competing product, model, or service.

5. User Content

5.1 Ownership. As between You and Oceanus, You retain all right, title, and interest in and to Your User Content.

5.2 License to Oceanus. You hereby grant Oceanus a worldwide, royalty-free, non-exclusive license to host, store, process, transmit, display, and analyze Your User Content solely to the extent necessary to (a) operate and maintain the Portal, (b) provide the services You request, (c) generate aggregated or anonymized analytics, and (d) comply with applicable legal obligations.

5.3 Representations. You represent and warrant that (i) You have all rights necessary to submit Your User Content and to grant the license set forth in Section 5.2, and (ii) Your User Content does not infringe, misappropriate, or violate the rights of any third party.

6. Third-Party Data

Third-Party Data is provided pursuant to separate license terms between Oceanus and the relevant providers. You may not redistribute, republish, or commercially exploit Third-Party Data, in whole or in part, in any form. Where Third-Party Data providers impose additional restrictions, those restrictions form part of these Terms by reference upon notice to You.

7. AI Features and Outputs

7.1 The Portal integrates large-language-model assistants and other artificial-intelligence subsystems. AI Output is generated probabilistically and MAY contain factual errors, fabrications, omissions, or outdated information.

7.2 AI Output is provided for research-support purposes only and SHALL NOT BE RELIED UPON without independent verification against primary sources. The full scope of caveats applicable to AI Output is set forth in the Disclaimer, which is incorporated herein by reference.

7.3 You are solely responsible for any decision made on the basis of AI Output, including without limitation any investment, trading, allocation, or risk-management decision.

8. Privacy

Use of the Portal is also governed by our Privacy notice and our Cookie policy, each of which is incorporated herein by reference. By using the Portal, You acknowledge that You have read and understood those documents.

9. Modifications to the Portal and these Terms

9.1 Oceanus may, at any time and in its sole discretion, modify, suspend, or discontinue any feature, function, or component of the Portal, with or without notice.

9.2 Oceanus may amend these Terms from time to time. Material amendments will be notified by reasonable means (including email, in-product notice, or update of the “Last revised” date above). Your continued use of the Portal following the effective date of any amendment constitutes Your acceptance of the amended Terms.

10. DISCLAIMER OF WARRANTIES

THE PORTAL, AI OUTPUT, THIRD-PARTY DATA, AND ALL CONTENT MADE AVAILABLE THROUGH THE PORTAL ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OCEANUS AND ITS LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TIMELINESS, OR UNINTERRUPTED OPERATION. OCEANUS MAKES NO WARRANTY THAT THE PORTAL WILL MEET YOUR REQUIREMENTS, OPERATE FREE OF DEFECTS OR INTERRUPTION, OR PRODUCE ANY PARTICULAR RESULT.

11. LIMITATION OF LIABILITY

11.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OCEANUS, ITS AFFILIATES, OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITY, LOSS OF GOODWILL, OR LOSS OF DATA; OR ANY TRADING, INVESTMENT, ALLOCATION, OR HEDGING LOSSES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE PORTAL, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF OCEANUS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.2 IN NO EVENT SHALL THE AGGREGATE LIABILITY OF OCEANUS, ITS AFFILIATES, AND ITS LICENSORS UNDER OR IN CONNECTION WITH THESE TERMS EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US$100) OR (B) THE TOTAL AMOUNTS, IF ANY, PAID BY YOU TO OCEANUS FOR ACCESS TO THE PORTAL DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

11.3 The limitations of liability set forth in this Section 11 form an essential basis of the bargain between You and Oceanus and shall apply regardless of the failure of any limited remedy of its essential purpose.

12. Indemnification

You shall indemnify, defend, and hold harmless Oceanus, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, demands, actions, liabilities, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) Your User Content, (b) Your breach of these Terms, (c) Your violation of any applicable law or third-party right, or (d) Your misuse of the Portal or AI Output.

13. Term and Termination

13.1 These Terms commence on the earlier of (a) Your acceptance hereof or (b) Your first access of the Portal, and continue until terminated as set forth herein.

13.2 Either party may terminate these Terms at any time, with or without cause. Oceanus may, in addition, immediately suspend or terminate Your access for breach of these Terms or where continued access poses a security, regulatory, or operational risk.

13.3 Survival. Sections 1 (Definitions), 3.2 (Reservation), 5 (User Content) with respect to license grants for already-stored Content, 6 (Third-Party Data), 10 (Disclaimer), 11 (Limitation of Liability), 12 (Indemnification), 14 (Governing Law), 15 (Miscellaneous), and any other provision that by its nature should survive, shall survive termination.

14. Governing Law; Dispute Resolution

14.1 These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Oceanus is organized, without regard to its conflict-of-laws principles.

14.2 The parties shall first attempt in good faith to resolve any dispute arising out of or relating to these Terms through written notice and informal negotiation for a period of not less than thirty (30) days.

14.3 Failing resolution under Section 14.2, any unresolved dispute shall be subject to the exclusive jurisdiction of the courts located in Oceanus's principal place of business, and the parties hereby submit to the personal jurisdiction of, and venue in, such courts. YOU AND OCEANUS EACH WAIVE ANY RIGHT TO TRIAL BY JURY AND ANY RIGHT TO PARTICIPATE IN A CLASS ACTION arising out of or related to these Terms, to the maximum extent permitted by applicable law.

15. Miscellaneous

15.1 Entire agreement. These Terms, together with the Privacy notice, Cookie policy, and Disclaimer incorporated herein by reference, constitute the entire agreement between the parties with respect to the Portal and supersede all prior or contemporaneous communications and proposals, whether oral or written.

15.2 Severability. If any provision of these Terms is held invalid or unenforceable, that provision shall be enforced to the maximum extent permitted, and the remaining provisions shall remain in full force and effect.

15.3 No waiver. The failure of either party to enforce any right or provision shall not constitute a waiver of such right or provision.

15.4 Assignment. You may not assign or transfer these Terms or any rights hereunder without Oceanus's prior written consent. Oceanus may assign these Terms freely.

15.5 Force majeure. Neither party shall be liable for any failure or delay in performance to the extent caused by circumstances beyond its reasonable control, including without limitation acts of God, war, terrorism, cyber-attack, labor dispute, governmental action, or failure of telecommunications or upstream data providers.

15.6 Notices. Notices to Oceanus shall be made through the user-feedback channel within the Portal or, where legally required, in writing to the registered office of Oceanus. Notices to You may be delivered by email, in-product notification, or any other reasonable means.

15.7 Independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, fiduciary, or employment relationship between the parties.

15.8 Headings. Section headings are for reference only and have no substantive effect.

16. Acknowledgment

BY ACCESSING OR USING THE PORTAL, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE, YOU MUST NOT ACCESS OR USE THE PORTAL.
